This Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your information when You use the Service and tells You about Your privacy rights and how the law protects You.

We use Your Personal Data to provide and improve the Service. By using the Service, You agree to the collection and use of information in accordance with this Privacy Policy.

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

For the purposes of this Privacy Policy:

  • Account means a unique account created for You to access our Service or parts of our Service.
  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
  • Application refers to the TriMed Electronic Health Record (EHR), Practice Management (PM), Document Management, Patient Portals run by TriMed on behalf of TriMed clients, and other auxiliary products owned and supported by TriMed Technologies, Corp.
  • Business, for the purposes of the CCPA/CPRA, refers to the Company as the legal entity that collects Consumers' personal information and determines the purposes and means of the processing of Consumers' personal information or on behalf of which such information is collected and that alone, or jointly with others, determines the purposes and means of the processing of Consumers' personal information, that does business in the State of California.
  • CCPA and/or CPRA refers to the California Consumer Privacy Act (the "CCPA") as amended by the California Privacy Rights Act of 2020 (the "CPRA").
  • Company (referred to as either "the Company," "We," "Us," or "Our" in this Agreement) refers to TriMed Technologies, Corp, 4148 Mendenhall Oaks Pkwy.
  • Consumer, for the purposes of the CCPA/CPRA, means a natural person who is a California resident. A resident, as defined in the law, includes (1) every individual who is in the USA for other than a temporary or transitory purpose and (2) every individual who is domiciled in the USA who is outside the USA for a temporary or transitory purpose.
  • Cookies are small files placed on Your computer, mobile device, or any other device by a website, containing the details of Your browsing history on that website among its many uses.
  • Country refers to North Carolina, United States.
  • Device means any device that can access the Service, such as a computer, a cellphone, or a digital tablet.
  • Do Not Track (DNT) is a concept that has been promoted by US regulatory authorities, particularly the U.S. Federal Trade Commission (FTC), for the Internet industry to develop and implement a mechanism for allowing Internet users to control the tracking of their online activities across websites.
  • Personal Data is any information that relates to an identified or identifiable individual. For the purposes of the CCPA/CPRA, Personal Data means any information that identifies, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with You.
  • Service refers to the TriMed website, TriMed applications, and TriMed Mobile apps.
  • Service Provider means any natural or legal person who processes the data on behalf of the Company. It refers to third-party companies or individuals employed by the Company to facilitate the Service, to provide the Service on behalf of the Company, to perform services related to the Service, or to assist the Company in analyzing how the Service is used.
  • Usage Data refers to data collected automatically, either generated by the use of the Service or from the Service infrastructure itself (for example, the duration of a page visit).
  • Website refers to TriMed’s website, accessible from www.trimedtech.com.
  • You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

This Privacy Policy does NOT include Protected Health Information in the definition of Personal Information because, as discussed in various sections below, Protected Health Information receives special treatment as outlined under HIPAA, other applicable laws, and TriMed Client Agreements.

All Protected Health Information is handled separately in the TriMed Client Agreements. The agreements between any TriMed client and the patient of a TriMed client contain the appropriate terms of service and privacy practices for the patient’s Protected Health Information.

Collecting and Using Your Personal Data

Types of Data Collected
Personal Data

While using Our Service, We may ask You to provide Us with certain personally identifiable information that can be used to contact or identify You. Personally identifiable information may include, but is not limited to:

  • Usage Data
Usage Data

Usage Data is automatically collected when using the Service, when You submit forms on Our website, or when using Our services, which include services like Our Patient Portals that We run on behalf of our clients. Usage Data is also collected when using Our Application and when submitting support and technical help requests to Our Company.

Usage Data may include information such as Your Device's Internet Protocol address (e.g., IP address), browser type, browser version, the pages of Our Service that You visit, the time and date of Your visit, the time spent on those pages, unique Device identifiers, and other diagnostic data.

When You access the Service by or through a mobile Device, We may collect certain information automatically, including, but not limited to, the type of mobile Device You use, Your mobile Device’s unique ID, the IP address of Your mobile Device, Your mobile operating system, the type of mobile Internet browser You use, unique Device identifiers, and other diagnostic data.

We may also collect information that Your browser sends whenever You visit Our Service or access the Service by or through a mobile Device.

Information Collected while Using the Application

While using Our Application, in order to provide features of Our Application, We may collect:

  • Information regarding your location.
  • Personal Information. This includes any information that identifies an individual. The types of such personal information shall vary based upon the purposes for which We collect the information. It may also vary based on the platform and/or environment where it is collected (such as whether it is collected on Our website, one of Our applications, or a Portal run by TriMed on behalf of one of our clients). When used in this Privacy Policy, at no time does Personal Information include Protected Health Information.
  • Protected Health Information (PHI). This includes identified information protected by the Health Insurance Portability and Accountability Act of 1996, as amended, and its implementing regulations (HIPAA).

We use this information to provide features of Our Service and to improve and customize Our Service. The information may be uploaded to the Company's servers and/or a Service Provider's server, or it may be simply stored on Your Device.

You can enable or disable access to this information anytime through Your Device settings.

Tracking Technologies and Cookies

We use Cookies and similar tracking technologies to track the activity on Our Service and store certain information. Tracking technologies are beacons, tags, and scripts to collect and track information and improve and analyze Our Service. The technologies We use may include:

  • Cookies or Browser Cookies. A cookie is a small file placed on Your Device. You can instruct Your browser to refuse all Cookies or to indicate when a Cookie is being sent. The Company may use Personal Data for the following purposes:

  • To contact You: by email, telephone calls, SMS, or other equivalent forms of electronic communication, such as a mobile application's push notifications, regarding updates or informative communications related to the functionalities, products, or contracted services, including the security updates, when necessary or reasonable for their implementation.
  • To provide You with news, special offers, and general information about other goods, services, and events that We offer similar to those You have already purchased or enquired about unless You have opted not to receive such information.
  • To manage Your requests: to attend to and manage Your requests to Us.
  • For business transfers: We may use Your information to evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by Us about our Service users is among the assets transferred.
  • For other purposes: We may use Your information for other purposes, such as data analysis, identifying usage trends, determining the effectiveness of our promotional campaigns, and evaluating and improving Our Service, products, services, marketing, and your experience.

We may share Your personal information in the following situations:

  • With Service Providers: We may share Your personal information with Service Providers to monitor and analyze the use of Our Service and to contact You.
  • For business transfers: We may share or transfer Your personal information in connection with or during negotiations of any merger, sale of Company assets, financing, or acquisition of all or a portion of Our business to another company.
  • With Affiliates: We may share Your information with Our affiliates, in which case we will require those affiliates to honor this Privacy Policy. Affiliates include Our parent company and any other subsidiaries, joint venture partners, or other companies that We control or are under common control with Us.
  • With business partners: We may share Your information with Our business partners to offer You certain products, services, or promotions.
  • With other users: When You share personal information or otherwise interact in public areas with other users, such information may be viewed by all users and may be publicly distributed.
  • With Your consent: We may disclose Your personal information for any other purpose with Your consent.

The services TriMed provides to our clients or makes accessible to the patients of Our clients may involve Protected Health Information (PHI). This PHI is handled pursuant to agreements signed by and between TriMed and TriMed clients, “Client Agreements.” These Client Agreements include but are not limited to software license agreements, project agreements, business associate agreements, or any other document with terms and conditions for the Service that TriMed has entered into with Our clients. Our clients are typically health care providers, and these Client Agreements govern TriMed’s use of PHI of Our clients’ patients.

This Privacy Policy supplements the Client Agreements. TriMed only uses PHI as a business associate of Our clients who are considered covered entities under the instructions and/or restrictions provided to TriMed by TriMed clients and in compliance with the provisions of the HIPAA mandate.

Let it be stated that for any patient of a TriMed client, TriMed’s use and disclosure of Your PHI is governed first and foremost by HIPAA and other applicable laws along with our respective Client Agreements and NOT by this Privacy Policy. TriMed client’s use, disclosure, and transfer of PHI shall be governed by each client’s own terms and conditions and privacy practices as agreed upon with their patients. All requests and questions related to PHI shall be directed to a TriMed client directly and not to TriMed. TriMed shall not be responsible for how any TriMed client treats PHI that TriMed collects on behalf of the client. It is up to each patient to seek agreements between the patient and TriMed client to understand how the TriMed client treats PHI.

Our Website does not intend to collect or retain any PHI. As such, any section of this Privacy Policy that discusses Personal Information collection on the Website does not apply to PHI.

Retention of Your Personal Data

The Company will retain Your Personal Data only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use Your Personal Data to the extent necessary to comply with Our legal obligations (e.g., if we are required to retain Your Data to comply with applicable laws), resolve disputes, and enforce Our legal agreements and policies.

The Company will also retain Usage Data for internal analysis purposes. Usage Data is generally retained for a shorter period of time, except when this data is used to strengthen the security or improve the functionality of Our Service, or We are legally obligated to retain this data for more extended time periods.

Transfer of Your Personal Data

Your information, including Personal Data, is processed at the Company's operating offices and in any other places where the parties involved in the processing are located. This means that this information may be transferred to—and maintained on—computers outside Your state, province, country, or other governmental jurisdiction where the data protection laws may differ from Yours.

Your consent to this Privacy Policy, followed by Your submission of such information, represents Your agreement to that transfer.

The Company will take all steps reasonably necessary to ensure that Your Data is treated securely and in accordance with this Privacy Policy and that no transfer of Your Personal Data will take place to an organization or a country unless there are adequate controls in place, including the security of Your data and other personal information.

Deletion of Your Personal Data

You have the right to delete or request that We assist in deleting the Personal Data We have collected about You.

Our Service may allow You to delete information about You from within the Service.

You may update, amend, or delete Your information at any time by signing in to Your Account if you have one and visiting the Account Settings section. Here, You can manage Your personal information. You may also contact Us to request access to, correct, or delete any personal information You provided.

Please note, however, that We may need to retain certain information when We have a legal obligation or lawful basis to do so.

Disclosure of Your Personal Data
Business Transactions

If the Company is involved in a merger, acquisition, or asset sale, Your Personal Data may be transferred. We will provide notice before Your Personal Data is transferred and becomes subject to a different Privacy Policy.

We may use third-party Service Providers to monitor and analyze the use of our Service.

Google Analytics
Google Analytics is a web analytics service offered by Google that tracks and reports website traffic. Google uses the data collected to track and monitor the use of our Service. This data is shared with other Google services. Google may use the collected data to contextualize and personalize the ads of its own advertising network.
You can opt out of having your activity on the Service be available to Google Analytics by installing the Google Analytics opt-out browser add-on. The add-on prevents Google Analytics JavaScript (ga.js, analytics.js, and dc.js) from sharing information with Google Analytics about visit activities.

Invisible reCAPTCHA
We use an invisible captcha service named reCAPTCHA. reCAPTCHA is operated by Google.
The reCAPTCHA service may collect information from You and Your Device for security purposes.

Children’s Privacy

TriMed’s Website and Service are not directed toward individuals under 18. We do not promote our Sites to individuals under 18, and we do not knowingly collect any Personal Information through our Sites from individuals under 18. Any access to a Portal of a TriMed Client is separately governed by the Portal’s posted Terms of Use.

CCPA/CPRA Privacy Notice

This privacy notice section for California residents supplements the information contained in Our Privacy Policy. It applies solely to all visitors, users, and others who reside in the State of California.

When We disclose personal information for a business or a commercial purpose, We enter a contract that describes the purpose and requires the recipient to keep that personal information confidential and not use it for any purpose except performing the contract.

Share of Personal Information

We may share, and have shared in the last twelve (12) months, Your personal information identified in the above categories with the following categories of third parties:

  • Our business partners
  • Third-party vendors to whom You or Your agents authorize Us to disclose Your personal information in connection with products or services We provide to You
Sale of Personal Information

As defined in the CCPA/CPRA, "sell" and "sale" mean selling, renting, releasing, disclosing, disseminating, making available, transferring, or otherwise communicating orally, in writing, or by electronic or other means, a Consumer's personal information by the Business to a third party for valuable consideration. We may have received some kind of benefit in return for sharing personal information, but not necessarily a monetary benefit.

We do not sell personal information as the term “sell” is commonly understood. We allow Service Providers to use Your personal information for the business purposes described in Our Privacy Policy for activities such as advertising, marketing, and analytics, and these may be deemed a sale under CCPA/CPRA.

We may sell and may have sold in the last twelve (12) months the following categories of personal information:

  • Category F: Internet or other similar network activity

Please note that the categories listed above are those defined in the CCPA/CPRA. This does not mean that all examples of that category of personal information were sold. Still, it reflects our good faith belief, to the best of Our knowledge, that some of that information from the applicable category may be and may have been shared for value in return.

Sale of Personal Information of Minors Under 16 Years of Age

We do not knowingly collect personal information from minors under 16 through Our Service, although certain third-party websites We link to may do so. These third-party websites have their own terms of use and privacy policies. We encourage parents and legal guardians to monitor their children's Internet usage and instruct their children never to provide information on other websites without their permission.

We do not sell the personal information of Consumers We actually know are less than 16 years of age unless We receive affirmative authorization (the "right to opt-in") from either the Consumer who is between 13 and 16 years of age or the parent or guardian of a Consumer less than 13 years of age. Consumers who opt into the sale of personal information may opt out of future sales at any time. To exercise the right to opt-out, You (or Your authorized representative) may contact Us to submit a request.

If You have reason to believe that a child under the age of 13 (or 16) has provided Us with personal information, please contact Us with sufficient details to enable Us to delete that information.

Your Rights under the CCPA/CPRA

The CCPA/CPRA provides California residents with specific rights regarding their personal information. If You are a resident of California, You have the following rights:

  • The right to notice: You have the right to be notified of which categories of Personal Data are being collected and the purposes for which the Personal Data is being used.
  • The right to know/access: Under CCPA/CPRA, You have the right to request that We disclose information to You about Our collection, use, sale, disclosure for business purposes, and sharing of personal information. Once We receive and confirm Your request, We will disclose to You:
